ICADE and GA_P create Chair in Sustainability and Law

We are pleased to announce that the Universidad Pontificia Comillas ICAI-ICADE and Gómez-Acebo & Pombo have signed the ‘Gómez-Acebo & Pombo/ICADE Chair on Sustainability and Law’.
This Chair, directed by our partner Ana Martínez-Pina and Cecilio Molina, Professor of Business Law at the University, focuses on researching the change in the economic and social model driven by the new demands in sustainability, covering environmental, social, human rights and governance aspects. In addition, it focuses on analysing and monitoring European and national regulation related to sustainability, as well as international trends in this field. It also addresses the implications of these regulations for companies in various sectors and seeks to develop agile and efficient legal solutions for companies to adapt to these changes.

Squeeze-out of minority shareholders following successful mandatory takeover bid: rebuttable presumption of fair consideration
The Court of Justice of the European Union (Fifth Chamber), in its judgment of 27 November 2025 (Case C-567/24, Svema Trade), concerning the equitable price in a squeeze-out requiring minority shareholders to sell their shares to an offeror who, following a mandatory takeover bid, has acquired more than 90% of the capital carrying voting rights in the company subject of the takeover bid, states that the presumption that the price offered in the bid, in the context of such a squeeze-out of holders of securities, is equitable is rebuttable.

Sustainable Mobility Act 9/2025: measures to promote climate neutrality in the transport sector
This paper presents changes introduced by Act 9/2025 to promote decarbonisation in transport, including obligation for transport entities to calculate and report their carbon footprint, the drawing up of sustainable mobility plans in large centres of activity and companies, measures to electrify ports and promote renewable fuels, the deployment of charging points and the publishing of a national grid capacity map.

Recent developments in the carbon border adjustment mechanism: simplifications and obligations as of 2026
Regulation (EU) 2025/2083 simplifies the carbon border adjustment mechanism in order to reduce burdens as of 1 January 2026. This paper explains the obligations imposed by this mechanism on the importers it applies to and the simplification measures introduced, including the de minimis exemption based on mass for small importers, excluding electricity and hydrogen.

A good transposition of the Women on Boards Directive
Ireland has incorporated the mandatory presence of 40% of female non-executive directors on the boards of listed companies as of 30 June 2026, by amending the Companies Act 2014. Unlike the legislation in Spain, the percentage has been limited to this class of directors.

Royal Decree 214/2025: obligation to calculate carbon footprints, draw up emission reduction plans and publicly disclose the same
Royal Decree 214/2025 does not create a new register, as its title suggests, but rather keeps and expands the one in place since 2014. What is truly new is the obligation imposed on specific companies and public bodies to calculate their carbon footprint and to draw up greenhouse gas emission reduction plans, as well as to publish the same.

Supreme Court judgment on the Campelo wind farm: does it clear the path for wind energy in Galicia?
Supreme Court Judgment no. 316/2025 marks a turning point in the intense litigation surrounding wind energy projects in Galicia. While confirming its doctrine on the public consultation procedure, the Supreme Court clarifies that the fact that several wind farms share evacuation infrastructure does not, in and of itself, establish the existence of a single project for environmental purposes, contrary to what was previously held by the Galician High Court of Justice.

Directive (EU) 2023/2413: the designation of ‘renewables acceleration areas’ in which projects are exempted from an environmental impact assessment
The new Renewable Energy Directive requires Member States to approve plans designating ‘ renewables acceleration areas’. The plans will be subject to strategic environmental assessment, but projects in these areas will be exempted from environmental impact assessment.
