Helena Villena talks about the new Packaging Regulation (EU) 2025/40 | El Confidencial

On 22 January 2025, Regulation (EU) 2025/40 on packaging and packaging waste, amending Regulation (EU) 2019/1020 and Directive (EU) 2019/904 and repealing Directive 94/62/EC, was published in the Official Journal of the European Union. The EU regulation will enter into force next month, although it will be generally enforceable from 12 August 2026.

This regulation aims to harmonise requirements in the EU. ‘For this reason, it is particularly important that the Member States refrain from imposing obligations that ‘go further’, except in those areas in which the European regulation expressly authorises them to do so’, Helena stresses.

Squeeze-out of minority shareholders following successful mandatory takeover bid: rebuttable presumption of fair consideration
The Court of Justice of the European Union (Fifth Chamber), in its judgment of 27 November 2025 (Case C-567/24, Svema Trade), concerning the equitable price in a squeeze-out requiring minority shareholders to sell their shares to an offeror who, following a mandatory takeover bid, has acquired more than 90% of the capital carrying voting rights in the company subject of the takeover bid, states that the presumption that the price offered in the bid, in the context of such a squeeze-out of holders of securities, is equitable is rebuttable.
