A comparison between the Proposal for a European Packaging Regulation and the Spanish Royal Decree 1055/2022 on packaging waste

The European Packaging and Packaging Waste Regulation proposal, which is about to be approved, aims to harmonise the regulation at an EU level. In Spain, the Royal Decree 1055/2022 introduces measures that will enter into force in 2025. This article compares the two regulations and highlights the challenges faced by economic operators in the face of possible significant changes and uncertainty about their compatibility.

This analysis has been carried out by Pedro Poveda, Ana Orondo, Eduardo Orteu and Yago Fernández, experts at Gómez-Acebo & Pombo, who have extensive experience in environmental law.

Squeeze-out of minority shareholders following successful mandatory takeover bid: rebuttable presumption of fair consideration
The Court of Justice of the European Union (Fifth Chamber), in its judgment of 27 November 2025 (Case C-567/24, Svema Trade), concerning the equitable price in a squeeze-out requiring minority shareholders to sell their shares to an offeror who, following a mandatory takeover bid, has acquired more than 90% of the capital carrying voting rights in the company subject of the takeover bid, states that the presumption that the price offered in the bid, in the context of such a squeeze-out of holders of securities, is equitable is rebuttable.

This paper explains the obligations imposed by this mechanism on the importers it applies to and the simplification measures introduced, including the de minimis exemption based on mass for small importers, excluding electricity and hydrogen.
