GA_P advises Indra Sistemas on the acquisition of Hispasat for €725m

Gómez-Acebo & Pombo has advised Indra Sistemas in the negotiation and execution of an agreement with Redeia Corporación for the acquisition of 89.68% of the share capital of Hispasat, a satellite operator and service provider, for 725,000 million euros.
La operación está sujeta al cumplimiento de determinadas condiciones suspensivas, de carácter esencialmente regulatorio, tanto en España como en otras jurisdicciones; a la aprobación por la Junta General de Accionistas de Indra; así como a la ejecución de determinados acuerdos para que Indra consolide contablemente Hisdesat Servicios Estratégicos S.A., operador de servicios gubernamentales por satélite en las áreas de defensa, seguridad, inteligencia y asuntos exteriores.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

Direct harm due to de facto expulsion: Article 241 of the Companies Act (Supreme Court Judgment, First Chamber, 22 October 2025)
This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director). Although, as a general rule, shareholders cannot claim compensation for the harm caused to their share in a company’s estate, compensation for de facto expulsions or harm to liquidating dividends may be awarded through a director liability to shareholder claim.

Non-resident taxpayers may benefit from the wealth tax liability cap
All taxpayers subject to wealth tax, both residents and non-residents, are in a comparable situation and must therefore be able to apply the combined cap of Article 31(1) LIP, the existence of a real or personal obligation being irrelevant for the purposes of the comparability analysis, since the determining factor is the nature and purpose of this tax device, as well as its content.
