GA_P advises ATRYS in its capital increase for the acquisition of Initia and ChileRad

Gómez-Acebo & Pombo advised Atrys Health on the €10.5 million capital increase, by means of cash contributions and exclusion of pre-emptive subscription rights, carried out after a private placement negotiation process, which was aimed at a limited number of qualified investors.

The funds obtained from the capital increase allow the company to undertake the acquisition of Grupo Initia (leader in oncology and clinical trials in Spain) for 2.2 million euros, as well as the acquisition of ChileRad (Telmed and Prestaciones Médicas e Inversiones Chaxa, a telemedicine company specialising in teleradiology services) for a total of 8 million euros, thus consolidating ATRYS’ position in Chile as a leading company in the provision of teleradiology diagnostic services.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director).
