1. CRITERIOS CONOCIDOS SOBRE STOCK OPTIONS

Desde la STS (Pleno) de 24-10-2001 (rec. 4851/2000)1 asumimos cinco ideas básicas sobre los planes de stock options:
● Naturaleza: el derecho de opción de compra de acciones es de naturaleza salarial al haber vinculación entre la actividad laboral del empleado, su esfuerzo y dedicación y la obtención de un beneficio económico valorable derivado del ejercicio de la opción.
● Finalidad múltiple: se potencia la productividad, se refuerza el vínculo y la permanencia del trabajador en la empresa (fidelización, retención del talento), se invierte en la mejora a medio y largo plazo de los resultados económicos.
● Casuismo: el tratamiento jurídico de las stock options no es único ni homogéneo, cada caso requiere ser tratado de manera singular, lo que exige analizar las circunstancias concurrentes.
● El derecho podría ser valorable económicamente en el instante en que se formaliza el plan de stock options. Sin embargo, su valoración inicial es irrelevante ya que incorpora una obligación sujeta a plazo y, por tanto, su materialización sólo será posible en el momento en que se cumpla el término, a partir del cual su titular decidirá si lo ejercita o no.
