GA_P advises JB Capital Markets and Alantra Equities on the placement of Izertis shares

Gómez-Acebo & Pombo has advised the placing entities JB Capital Markets, acting as global coordinator, and Alantra Equities, on the capital increase and accelerated private placement of Izertis, for a total amount of approximately €54.1 million.

The transaction consisted of a capital increase through the issuance of approximately 5.6 million new ordinary shares, complemented by a secondary tranche involving the sale of treasury shares. The placement, addressed exclusively to qualified investors, registered strong demand, which resulted in an oversubscription of 2.3 times the amount of the transaction.

The funds obtained will be used to boost the company’s organic and inorganic growth within the framework of its Business Plan 2030. The new shares are expected to be admitted to trading on the stock exchanges of Madrid, Barcelona, Bilbao and Valencia.

The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.
