Negativa a inscribir la escritura sobre acuerdos sociales de fusión societaria por falta de participación de los trabajadores

El Registro Mercantil deniega la inscripción de una escritura de acuerdos sociales de fusión de dos sociedades de responsabilidad limitada en la que tanto la sociedad absorbente como la unipersonal absorbida —íntegramente participada por la absorbente— habían adoptado el acuerdo por unanimidad en junta general universal de cada una de dichas sociedades. Puesto que la absorbida carece de trabajadores y que la fusión no produce efecto alguno sobre el empleo de la absorbente, la Dirección General admite el recurso del notario y avala la inscripción del acuerdo de fusión.
