Infracción del deber de lealtad: legitimación para demandar y nulidad de los contratos celebrados deslealmente por el administrador

La Audiencia Provincial de Madrid (Sección Vigesimoctava) abordó en su Sentencia 142/2025, de 11 de abril, dos cuestiones relacionadas con el ejercicio de acciones de anulación de dos contratos de compraventa celebrados por un administrador social con violación de su deber de lealtad. De una parte, y a la vista de las circunstancias concretas, decidió sobre si la sociedad podía asumir formalmente la condición de demandante en el litigio. De otra, se pronunció sobre la relevancia que podría tener el hecho de que las operaciones controvertidas fueran convenientes para la compañía afectada y sobre la posibilidad de que existiera una dispensa «tácita».
