Impugnabilidad concursal de los acuerdos de refinanciación tras el RD Ley 4/2014

Esta Nota tiene por objeto comentar las innovaciones introducidas por el RD Ley 4/2014 en el ejercicio de acciones de reintegración concursal contra o en el seno de acuerdos de refinanciación.Acuerdos de refinanciación de mayoría cualificada no homologados

Las diferencias arbitrarias

1. No tiene sentido, creo, que un acuerdo de refinanciación homologado por la DA 4ª o un acuerdo extrajudicial del art. 236.2 LCon puedan tener como contenido exclusivo una liquidación mediante entrega de bienes en pago y que, por el contrario, no pueda tener este contenido el acuerdo de refinanciación de mayoría cualificada no homologado. No menos absurdo es que el convenio concursal del art. 100 LCon (instrumento ya desfasado después de la reforma de 2014) tenga que seguir siendo necesariamente un instrumento de continuación empresarial…
