Exoneración convencional de las deudas salariales en la subrogación empresarial por sucesión de contratas

Una vez más se cuestiona la subrogación empresarial por sucesión de contratas operada por mandato del Convenio Colectivo en el que expresamente se exonera a la empresa entrante de las deudas laborales contraídas por la empresa saliente antes de la transmisión, práctica convencional frecuente en determinados sectores. No se aplica lo dispuesto legalmente para la transmisión empresarial por entender que tal sucesión no existe, toda vez que no se produce el traspaso de una entidad económica con un conjunto de medios organizados con entidad propia.1. En determinados sectores —seguridad, limpieza, etc.— la empresa que asume la contrata suele hacerse cargo del personal de la empresa saliente en cumplimiento de las previsiones convencionalmente establecidas. Se trata de supuestos —continuación sucesiva en el tiempo de empresas en la contrata de servicios para una entidad principal— en los que la asunción de los trabajadores no se efectúa de forma voluntaria por el interés demostrado por la empresa entrante. Bien al contrario, la aceptación de dichos trabajadores opera como consecuencia de la imposición ordenada por el Convenio Colectivo aplicable, de lo que se deduce que no se trata tanto de una sucesión de empresas, sino de una obligación convencional…
