Estatuto jurídico del representante persona física

La persona jurídica administradora debe designar un representante al tiempo que acepta el cargo porque la protección de la eficacia preventivo-punitiva de las normas sobre responsabilidad orgánica (frente a la sociedad, socios o terceros) requiere que exista una persona física responsable, con todos sus bienes presentes y futuros, del correcto desempeño de las funciones y competencias propias del cargo. Es indiferente por ello que se trate de un supuesto de responsabilidad por daños o de responsabilidad por deudas o de responsabilidad concursal.
