Cómo en la práctica es una operación casi imposible obtener la reinscripción de la finca en favor del vendedor que ejercita una condición resolutoria inscrita

La Resolución de 27 de febrero de 2025, de la Dirección General de Seguridad Jurídica y Fe Pública ilustra las cautelas con que los operadores han de contratar bajo la aplicación del artículo 1504 del Código Civil (CC) y del artículo 59 del Reglamento Hipotecario (RH).

1. La Dirección General confirma su destructiva doctrina según la cual si el comprador ha mostrado su oposición a la resolución en los términos del artículo 204 del Reglamento Notarial, el vendedor ha de acudir a juicio para resolver y reinscribir.

      2. La Dirección General confirma —lo que es de agradecer— su doctrina (bien es verdad que renuentemente adoptada, y sólo por no contradecir al Tribunal Supremo) de que las partes del contrato pueden renunciar a la facultad de moderación de la pena del artículo 1154 CC, lo que exime al vendedor de consignar las cantidades recibidas del comprador incumplidor y que puede retener como cláusula penal.

      3. Si el devengo del precio de compra está sujeto a condiciones extrarregistrales, el vendedor no puede obtener reinscripción sin una previa resolución judicial por la que se decida sobre el cumplimiento de tales condiciones.
