«By way of background, the LTL bankruptcy was predicated by numerous products liability lawsuits stemming from allegations that talc used in certain Johnson & Johnson Consumer Inc. («J&J Subsidiary») products were contaminated with asbestos (the «Products Liability Claims»). J&J Subsidiary was a wholly-owned subsidiary of Johnson & Johnson(«J&J»). In an effort to cabin the exposure from the Products Liability Claims —damages awarded and costs of which were in the billions— J&J carried out a divisive merger of J&J Subsidiary under Texas law. This process, colloquially referred to as a «Texas Two-Step,» resulted in the division of J&J Subsidiary into LTL —which inherited all of the Products Liability Claims and certain assets including an [intragroup] funding agreement— and Johnson & Johnson Consumer Inc. («New J&J Subsidiary») —which inherited all of the beneficial operating assets minus the liabilities— . Following the divisive merger, J&J Subsidiary ceased to exist and the Texas Two-Step was completed by putting LTL into bankruptcy” (Gregory G. Comentario: el objeto del «montaje texano» no era otro que aprovechar el concurso de LTL para conseguir la paralización de «third party claims» contra terceros, fundadas en daños causados por productos. LTL se acogió al procedimiento concursal del Chapter 11 Bankruptcy Code. El tribunal de apelación del tercer Circuito USA rechazó la petición de LTL, por tratarse de un «attempt in bad faith». ¡Pero no por la clara pretensión de aislar los activos de los pasivos y por el empeño torticero (que en España no sería posible en el concurso, pero sí parcialmente en el preconcurso) de «inmunizar» la posición de terceros estratégicos, sino porque el tribunal de distrito no había computado suficientemente el funding agreement intra group para deducir de él que LTL no se encontraba en «financial distress»! Según los autores arriba citados, la decisión ha supuesto una sorpresa para muchos.
