Adquisiciones de Empresas

Esta nueva edición de Adquisiciones de Empresas se ha preparado en un entorno económico pesimista, con importantes caídas en las actividades de fusiones y adquisiciones y de capital riesgo.Sin perjuicio de que el entorno económico no ha favorecido en los últimos tiempos este tipo de operaciones, éstas se siguen efectuando, como no puede ser de otra manera en un país estructurado y moderno en el que las adquisiciones son un instrumento de la empresa para su desarrollo y reorganización.

Junto con las figuras tradicionales de las adquisiciones de empresa, han proliferado las operaciones efectuadas en el marco de las reestructuraciones de empresas. Sin duda en estos últimos años el Derecho concursal ha empezado a tener una importancia en las adquisiciones de empresa que en la época de bonanza había sido totalmente marginal. Este extremo, junto con la abundancia de la legislación anti-crisis en materia laboral, fiscal y societaria, nos ha obligado a efectuar modificaciones relevantes en la presente edición de este libro.
