GA_P advises Meridiam on the acquisition of a 15% stake in Autopista del Sol Concesionaria Española (Ausol)

Gómez-Acebo & Pombo advised, through Infratoll Concesiones, S.A., a company controlled by the French fund Meridiam, on the acquisition of 15% of Ausol for €110.8 million from Ferrovial, through Cintra. As a result of this transaction, Infratoll Concesiones, S.A. became the sole shareholder of Ausol.
The transaction is the result of the Cintra company exercising the put option it had on these shares since 2019, when it sold 65% of Ausol to the same French fund.
Meridiam is a Paris-based global investor and asset manager specialising in the development, financing and management of long-term public infrastructure projects. Founded in 2005, Meridiam invests in public infrastructure in Europe, North America and Africa.
The advisors on the transaction were: Fernando Igartua, partner in the Banking and Finance practice, Mariana Díaz-Moro, partner in the Tax practice, Irene Carreño Álvarez and Sergio Gómez, associates in the Commercial practice, and María Fanego and Cecilia Herreros, associates in the Banking and Finance practice.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director). Although, as a general rule, shareholders cannot claim compensation for the harm caused to their share in a company’s estate, compensation for de facto expulsions or harm to liquidating dividends may be awarded through a director liability to shareholder claim.

Payment service providers’ rectification of unauthorised or incorrectly executed payment transactions: user obligations
The Court of Justice of the European Union (Fourth Chamber), in its judgment of 1 August 2025, case C-665/23, IL v. Veracash SAS, concludes that a payer is deprived of the right to reimbursement of the amount of an unauthorised transaction if he or she delayed in notifying his or her payment service provider of the unauthorised payment transaction, even though he or she did so within 13 months from the debit date. This interpretation of the Payment Services Directive is applicable in Spain (Art. 43 RDL 19/2018) and appears to be retained in the future Regulation on payment services.

Contractual termination by mutual abandonment not claimed by any party?
The risks of applying the doctrine according to which a contract is deemed withdrawn from if neither party to the same appears to want it. Not only is this solution likely to be inconsistent with the parties' claims, but it also wrongly rules out other civil law options the parties could pursue upon dismissal of the action for declaration of termination.
