GA_P advises Eurenco on the purchase of Manuco from Spanish Maxam

Gómez-Acebo & Pombo has advised Eurenco, a French explosives manufacturing company, on the acquisition of Manuco from the Spanish company Maxam. The agreement includes a five-year supply contract with Maxam.
Manuco is active in the production of energetic nitrocellulose with both high and low nitrogen content. It also provides global service and technical support to customers in more than 20 countries around the world.
The GA_P team was formed by David González and Clara Rivero, partner and associate in the Corporate and Commercial practice, and Inés Vázquez, Luis López and Sofía Vicente, partner and associate in the Litigation and Arbitration practice.
The firm also advised Eurenco Jeantet, a French law firm, on the transaction.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

Interruption of limitation period in respect of non-sued (eventually jointly and severally liable) co-debtors (Supreme Court Judgment no. 1496/2025 of 27 October 2025)
The Supreme Court holds that mere knowledge that the limitation period has been interrupted in relation to another eventual joint and several co-debtor is equivalent to interruption. This doctrine will not be justified in most cases.

Direct harm due to de facto expulsion: Article 241 of the Companies Act (Supreme Court Judgment, First Chamber, 22 October 2025)
This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director). Although, as a general rule, shareholders cannot claim compensation for the harm caused to their share in a company’s estate, compensation for de facto expulsions or harm to liquidating dividends may be awarded through a director liability to shareholder claim.
