GA_P advises EBN Banco in the incorporation of its promissory notes programme in the MARF for 100 million euros

Gómez-Acebo & Pombo has advised EBN Banco in the incorporation of its promissory notes programme in the MARF with a value of 100 million euros.
With the incorporation of this promissory note programme, EBN Banco becomes the first bank to incorporate a promissory note programme in the MARF, with a credit rating awarded by Axesor Risk Management of BBB- with a stable trend and with Norgestión acting as Registered Advisor. Under the programme, EBN Banco will be able to issue promissory notes with maturities ranging from 3 business days to 2 years, for a maximum value of 100 million euros.
In addition, the incorporation of this promissory note programme is the first to be carried out in the MARF since the entry into force, on 3 May 2021, of Act 5/2021, of April 12, which amends, among other regulations, the Recast Version of the Securities Market Act, with the consequent need to adapt the process to the new regulations.
The GA_P team was formed by Guillermo Guerra, partner of the Corporate area and Lázaro García, associate of the Banking area.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

Financial institutions’ customer services following Act 10/2025

Direct harm due to de facto expulsion: Article 241 of the Companies Act (Supreme Court Judgment, First Chamber, 22 October 2025)
This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director). Payment service providers’ rectification of unauthorised or incorrectly executed payment transactions: user obligations
The Court of Justice of the European Union (Fourth Chamber), in its judgment of 1 August 2025, case C-665/23, IL v. Veracash SAS, concludes that a payer is deprived of the right to reimbursement of the amount of an unauthorised transaction if he or she delayed in notifying his or her payment service provider of the unauthorised payment transaction, even though he or she did so within 13 months from the debit date. This interpretation of the Payment Services Directive is applicable in Spain (Art. 43 RDL 19/2018) and appears to be retained in the future Regulation on payment services.
