GA_P advises AD Education on the acquisition of Animum Creativity Advanced School in Malaga

Gómez-Acebo & Pombo advised the AD Education group on the acquisition of a majority stake in Animum Creativity Advanced School in Málga, the fourth best 3D animation school in the world. AD Education is an international network with a presence in 10 European countries that brings together 20 establishments united around strong values linked to the transmission of knowledge, know-how and life skills.

For its part, Animum was created 15 years ago in Malaga and joins the twenty or so schools that the French group has spread throughout most of Europe in cities such as Paris, Lyon, Bordeaux, Marseille, Toulouse, Nice, Berlin, Cologne, Frankfurt, Florence, Rome, Turin, Bologna, Madrid, Barcelona and Valencia, with 65,000 students. Former Animum students have participated in films such as Spiderman: A New Universe, Hotel Transylvania: Transformania, Mowgli, Angry Birds and SpongeBob: To the Rescue.

Notarial enforcement of pledges. Is Article 1872 of the Civil Code mandatory? In what sense?
The clause agreed upon must comply, for greater certainty, with the provisions of the new judicial enforcement procedure. It will be necessary to agree on an appraised value, which is not required in Article 1872 CC, because otherwise the award would be similar to a ‘forfeiture proviso’ (pactum commissorium), which the Civil Code neutralised with the drastic imposition of extinguishment of the debt in its entirety.

This paper analyses the subject matter scope of application of a ‘director liability to shareholder claim’ (claim for payment of damages filed by a shareholder against a company director). Although, as a general rule, shareholders cannot claim compensation for the harm caused to their share in a company’s estate, compensation for de facto expulsions or harm to liquidating dividends may be awarded through a director liability to shareholder claim.
